William Tanuwijaya and Melissa Siska Juminto are the latest names to step down from PT GoTo Gojek Tokopedia (GOTO) following the Annual General Meeting of Shareholders (RUPST) on Tuesday, June 11, 2024, signaling a major shift in the company’s leadership.
GOTO is a merger between Gojek and Tokopedia in 2021, making it Indonesia’s largest tech conglomerate. The merger was seen as a strategic move to combine Gojek’s ride-hailing and financial services with Tokopedia’s e-commerce platform.
The latest leadership transition marks a new chapter in the company’s evolution as it continues to expand its market presence and innovate within Indonesia’s digital economy.
William Tanuwijaya, a co-founder of Tokopedia, and Melissa Siska Juminto, President of Tokopedia, will end their terms in the Board of Commissioners and the Board of Directors. Additionally, Andre Soelistyo will also resign from the Board of Commissioners to focus on other areas.
Norges Bank Investment Management, a major institutional shareholder of GOTO with 2.6 billion shares equivalent to 0.22 percent ownership of GOTO since 2022, has supported the decision.
Norges Bank Investment Management a Sovereign Wealth Fund (SWF) or government fund manager owned by the government of Norway which is also one of the largest SWFs in the world.
In the shareholders’ meeting, John A. Prasetio was proposed for approval as an Independent Commissioner, replacing Robert Holmes Swan.
John brings extensive experience, having served as Chairman of Ernst & Young Indonesia and Vice Chairman of the Indonesian Chamber of Commerce and Industry (KADIN). He is currently the Chief Commissioner of the Indonesia Stock Exchange and an advisor to several institutions.
The company also nominates Patrick Sugito Walujo, as the CEO, as a Series B shareholder for independent shareholder approval. Patrick, an early investor in the company, provides strategic insights and leads the management team at GOTO.
GOTO also nominated again Dirk Van den Berghe as Independent Commissioner, Garibaldi Thohir as Commissioner, and Wishnutama Kusubandio as Commissioner.
Previously, William co-founded Tokopedia with Leontinus Alpha Edison, while Melissa served as the President of Tokopedia. Andre Soelistyo, a former CEO of GOTO, was succeeded by Patrick Sugito Walujo.
Kevin Aluwi, another co-founder of Gojek, resigned from his directorial role in 2022 and later served as a commissioner before stepping down in 2023. Nadiem Makarim, the founder of Gojek, left the company in 2019 to become Indonesia’s Minister of Education, Culture, Research, and Technology.
The departure of key founders presents both challenges and opportunities for GOTO. With new leadership, the company aims to solidify its strategic direction and maintain its competitive edge in the fast-growing Southeast Asian tech market.
